Schedule "A" - By-law Number 2007 - 14
Municipal Council and Employee Indemnification
PURPOSE: To establish a Policy to indemnify and save harmless municipal
members, directors, officers, or employees.
It shall be the policy of the Township of O'Connor to indemnify and saves
harmless its members, directors, officers, or employees, their heirs and legal
representatives, from and against all costs, charges and expenses, including all
amounts paid to settle an action or satisfy any judgment, responsibly incurred in
respect or any civil, criminal or administrative action or proceeding in which the
director, officer or employee is partly by reason of being or having been a
director, officer or employee if:
a) the director, officer or employee acted honestly and in good faith with a
view to the best interest of the Corporation, and
b) in the case of a criminal or administrative action or proceeding that is
enforced by a monetary penalty, the director, officer or employee had
reasonable grounds for believing his or her conduct was lawful.
Exceptions
This policy would not indemnify and save harmless a member of Council or a
municipal employee who brought sanctions upon himself or herself for reckless
conduct which according to the record was clearly unreasonable and not carried
out in good faith.
